PURCHASE AND SALE OF BONDS OF GETIN NOBLE BANK S.A. BY NOBLE SECURITIES S.A.
The Management Board of Getin Noble Bank S.A. (formerly Get Bank S.A.) (the „Issuer”) hereby announces that on 05 July 2012 it was informed by its subsidiary - Noble Securities S.A. with its registered office in Cracow (the “Company”) on the following transactions involving the Issuer’s securities: 1) on 02 July 2012 – sale by the Company of 16 E Series Bonds issued by Getin Noble Bank S.A. on 17 October 2011 within the Bonds Issue Program up to the maximum amount of PLN 500.000.000, on which Getin Noble Bank S.A. informed in Current report 13/2011 dated 25 March 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=8949. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,024.55. 2) on 02 July 2012 – sale by the Company of 64 PP-III Series Bonds issued by Getin Noble Bank S.A. on 23 March 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,030.55. At the same time the Company informed today, i.e. on 5 July 2012 that on 2 July 2012 the Company made correction of transactions involving the Issuer’s bonds made on 27 June 2012, on which the issuer informed in the Current report 67/2012 dated 27 June 2012 by way of withdrawing the following transactions at the National Depository for Securities (the numbering corresponds to the numbering of the above Current report): 1) on 27 June 2012 – sale by the Company of 47 PP-III Series Bonds issued by Getin Noble Bank S.A. on 23 March 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,023.24. 5) on 27 June 2012 – sale by the Company of 42 PP-IV Series Bonds issued by Getin Noble Bank S.A. on 27 April 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,031.38. The Company made the following transactions again: - on 02 July 2012 – sale by the Company of 42 PP-III Series Bonds issued by Getin Noble Bank S.A. on 23 March 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,031.38. - on 02 July 2012 – sale by the Company of 300 PP-IV Series Bonds issued by Getin Noble Bank S.A. on 27 April 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,023.24. 3) on 03 July 2012 – purchase by the Company of 210 C Series Bonds issued by Getin Noble Bank S.A. on 01 September 2011 within the Bonds Issue Program up to the maximum amount of PLN 500.000.000, on which Getin Noble Bank S.A. informed in Current report 13/2011 dated 25 March 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=8949. The Bonds were purchased within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement, for resale. The average unit purchase price of one Bond amounted to PLN 1,013.71. 4) on 03 July 2012 – sale by the Company of 783 PP-V Series Bonds issued by Getin Noble Bank S.A. on 23 May 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,022.73. 5) on 27 June 2012 – sale by the Company of 210 C Series Bonds issued by Getin Noble Bank S.A. on 01 September 2011 within the Bonds Issue Program up to the maximum amount of PLN 500.000.000, on which Getin Noble Bank S.A. informed in Current report 13/2011 dated 25 March 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=8949. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The Bonds were purchased within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement, for resale. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The Bonds were purchased within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement, for resale. The average unit purchase price of one Bond amounted to PLN 1,027.25. 9) on 5 July 2012 – purchase by the Company of 263 PP-I Series Bonds issued by Getin Noble Bank S.A. on 23 February 2012 within the Initial Public Bonds Issue Program up to the maximum amount of PLN 1.000.000.000, on which Getin Noble Bank S.A. informed in Current report 59/2011 dated 30 September 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=10027. The Bonds were purchased within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement, for resale. The average unit purchase price of one Bond amounted to PLN 1,021.85. 10)on 05 July 2012 – purchase by the Company of 105 C Series Bonds issued by Getin Noble Bank S.A. on 01 September 2011 within the Bonds Issue Program up to the maximum amount of PLN 500.000.000, on which Getin Noble Bank S.A. informed in Current report 13/2011 dated 25 March 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=8949. The Bonds were purchased within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement, for resale. The average unit purchase price of one Bond amounted to PLN 1,019.17. 11)on 05 July 2012 – sale by the Company of 256 C Series Bonds issued by Getin Noble Bank S.A. on 01 September 2011 within the Bonds Issue Program up to the maximum amount of PLN 500.000.000, on which Getin Noble Bank S.A. informed in Current report 13/2011 dated 25 March 2011 available at: http://investors.noblebank.pl/raporty-biezace-news.html?id=8949. The Bonds were sold within the business operations of the Company on the secondary market, outside the regulated trading system, on the basis of a civil law agreement. The average unit sale price of one Bond amounted to PLN 1,038.17. Legal basis: Article 56(1)(2a) of the Polish Act of 25 July 2005 on public offering and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws No. 184 item 1539 of 2005 later amended) in connection with §5 (1)(6) and §12 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259 with later amendments).
