CHANGES IN THE COMPOSITION OF THE SUPERVISORY BOARD OF GET BANK S.A.
Current report 2/2012, 3 January 2012 The Management Board of Get Bank S.A. (the “Bank”, the “Company”) hereby informs that due to the registration of the spin-off of Getin Holding S.A. made yesterday, i.e. on 2 January 2012, in which the Bank participates as the company to which the organized part of the enterprise of Getin Holding S.A. was transferred (“GH Spin-off Registration Date”) and on which the Bank informed in the Current report 1/2012 and considering the fact that the Bank received resignation of the following Members of the Supervisory Board: Mr. Krzysztof Rosiński, Mr. Łukasz Chojnacki, Mr. Maurycy Kühn and Mr. Jakub Malski effective as of GH Spin-off Registration Date, the Extraordinary General Meeting appointed the following Members of the second term of office Supervisory Board effective as of GH Spin-off Registration Date: Mr. Leszek Czarnecki, Mr. Rafał Juszczak, Mr. Michał Kowalczewski, Mr. Longin Kula. Information of the appointed Supervisory Board Members: Mr. Leszek Czarnecki is a graduate of Wroclaw University of Technology, Doctor of Philosophy in Economics of Wroclaw Academy of Economics. He started his business activity in 1986 by establishing Przedsiębiorstwo Hydrotechniki i Inżynierii TAN S.A. He was the founder and the main shareholder of Europejski Fundusz Leasingowy S.A. – the first and largest leasing company in Poland, operating since 1991. In 1998 Mr. Leszek Czarnecki was awarded prize for one of ten best managers in Central Europe “The best CEO in Central Europe” by “The Wall Street Journal”. In the same year he was the winner of the world’s finals of the contest “Young Business Journal” in Beijing. In April 2004 “The Financial Times” recognized Mr. Leszek Czarnecki as one of 25 rising stars of European business, who would set in the near future development trends of financial markets. Mr. Leszek Czarnecki was entered into ”FT” list as the only Pole. In November 2004 Mr. Leszek Czarnecki was among four people to receive the title of “Eastern Europe Entrepreneur of the Year” awarded by INSEAD – one of the top European business schools and the French Minister of Finance. In September 2005 Mr. Leszek Czarnecki was awarded prestigious Lesław A. Paga Prize for achievements and personal contributions to the development of financial services in Poland. He was voted the Player of the Year in the rank organized by the Polish edition of “Forbes” magazine in 2005, 2006 and 2007. Mr. Leszek Czarnecki, according to the Bank’s best knowledge, is not engaged in any competition activity in respect of the activity of the Bank and is not listed in the Registry of Insolvent Debtors. Mr. Rafał Juszczak is a graduate of the Faculty of History of the University of Gdańsk, in 1996 he attained the title of Mastère Spécialisé Banque et Finance of the Higher School of Economics (Ecole Supérieure de Commerce) in Rouen. He started his professional career in the Warsaw branch of Société Generale. Then he worked for Bank Handlowy /Citibank, where he participated in the preparation of strategic projects and handled the merger of Bank Handlowy with Citibank Polska. In 2001 he took up the post of director of Internal Settlements Department, where he was responsible for its restructuring. Then he was head of the Corporate Client Service Department. In March 2004 he became head of Small Enterprise Division in the Citibank Retail Banking Unit. In 2005-2008 Mr. Rafał Juszczak worked for the biggest Polish bank PKO BP S.A. as the Managing Director in the Corporate Banking Division, as a Member and finally – the President of the Management Board. Before his employment at Prokom Investment, he was the President of the First Ukrainian International Bank (FUIB) in Kiev for two years, where he managed to conduct USD 500 million debt restructuring. Since 1 January 2012 Mr. Rafał Juszczak has been the President of the Management Board of Getin Holding S.A. Mr. Rafał Juszczak is the Member of Supervisory Boards of Bioton S.A., Petrolinvest S.A., Polnord S.A. and Dolnośląskie Surowce Skalne S.A. Mr. Rafał Juszczak, according to the Bank’s best knowledge, is not engaged in any competition activity in respect of the activity of the Bank and is not listed in the Registry of Insolvent Debtors. Mr. Michał Kowalczewski graduated from the Faculty of Finance & Statistics, Warsaw School of Economics (1995) and is Doctor of Philosophy in Economics of Warsaw School of Economics (1999). In the years 1993-1999 he was Deputy Director of Secondary Market Department of CDM Pekao S.A. and then in the years 2000-2004 he was the Director of Corporate Sale Division of Millenium Dom Maklerski S.A. Since 2006 Mr. Michał Kowalczewski has been the President of the Management Board of Merkurius Dom Maklerski S.A. Mr. Michał Kowalczewski currently performs the following functions: Member of the Supervisory Board of Getin Noble Bank S.A. (since 2006), Member of the Supervisory Board of Altus TFI S.A., President of the Management Board of Merkurius Financial Advisors Sp. z o.o. (since 2004). Mr. Michał Kowalczewski, according to the Bank’s best knowledge, is not engaged in any competition activity in respect of the activity of the Bank and is not listed in the Registry of Insolvent Debtors. Mr. Longin Kula graduated from the Finance and Accounting Department at the Wrocław University of Economics in 1958, obtaining a Master’s degree. Since 1964, he has been a chartered expert accountant, and currently he is a chartered auditor (No. in the register of chartered auditors: 2040). He graduated from the Post-Graduate Studies at Wrocław University of Economics – Organisation and Management Department (1972). He started his professional career in 1957 at Wrocław Herbal Plants “Herbapol” as the Financial Manager and Deputy Chief Accountant. In years 1964 - 1992, he worked at Zakłady Elektroniczne "ELWRO" in Wrocław as: Deputy Chief Accountant (1964–1967), Chief Accountant (1967–1970), Deputy Economics Director (1970–1985), Deputy Economics Director and Chief Accountant (1985–1988), Chief of the “ELWRO” branch office in Bratislava (1988–1991) and Chief Economist (1991–1992). From 1991, he was the Chief Accountant and then the finance and accounting advisor at “Komputer Leasing” sp. z o.o. From 1994 until 2000 he was a Member of the Supervisory Board of Europejski Fundusz Leasingowy S.A. in Wrocław. Currently Mr. Longin Kula is a Member of the Supervisory Board of Getin Holding S.A. Mr. Longin Kula, according to the Bank’s best knowledge, is not engaged in any competition activity in respect of the activity of the Bank and is not listed in the Registry of Insolvent Debtors. LEGAL BASIS: Article 56(1)(2) of the Polish Act on public offering and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws of 2009 No. 185, item 1439 later amended) in connection with § 5(1)(21,22) of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259).
