Purchase by Getin Noble Bank S.A. its own bonds
Current report 48/2012 dated 18 April 2012 The Management Board of Getin Noble Bank S.A. (the „Issuer”) hereby announces that on 17 April 2012 the Issuer purchased 2 of the Issuer’s bonds (the “Bonds”). The Bonds were purchased under Article 25(1) of the Polish Bond Act of 29 June 1995 (Journal of Laws of 2001 No.120, item 1300) and purchase agreements concluded between the Issuer and the bond holders. The reason for the purchase was the will of the parties. The Bonds were purchased by the Issuer for the purpose of their redemption. The average unit purchase price of one Bond amounted to PLN 83,068.70. The Issuer purchased the Bonds issued within the debt securities issue program, which was the subject of the dealer agreement and the issue agreement concluded on 20 October 2005 by and between Getin Bank S.A. (currently: Getin Noble Bank S.A.) and BRE Bank S.A., and changed by Annex No. 1 dated 6 October 2006 and Annex No. 2 dated 28 July 2010. Getin Holding S.A. informed on the abovementioned agreements and on Annex No. 1 to the agreements in Current report 113/2005 dated 21 October 2005 and in Current report 106/2006 dated 16 October 2006. The Issuer informed on Annex No. 2 to the agreements in Current report 37/2010 dated 28 July 2010. The agreements stipulate the possibility to issue debt securities in many tranches. The maximum value of the issue program amounts to PLN 1,500,000,000.00 (in words: one billion and five hundred million zloty). The total issue amount cannot exceed the abovesaid amount. BRE Bank S.A. is the Issue Organiser, Issue Agent, Depositary and Dealer organising secondary trading. Legal basis: Article 56(1)(2a) of the Polish Act of 25 July 2005 on public offering and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws No. 184 item 1539 of 2005 later amended) in connection with §5 (1)(6) and §12 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259 with later amendments).
