Election of Members of the Supervisory Board of Noble Bank S.A.
On the basis of §5 (1)(22) and §28 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259) the Management Board of Noble Bank S.A. hereby announces that on 9 September 2009 the Extraordinary General Meeting elected Mr. Leszek Czarnecki and Mr. Marek Grzegorzewicz Members of the Supervisory Board of Noble Bank S.A. by the resolution No. III/09/09/2009 and No. IV/09/09/2009.
Mr. Leszek Czarnecki is a graduate of Wroclaw University of Technology, Doctor of Philosophy in Economics of Wroclaw Academy of Economics. He started his business activity in 1986 when he founded Przedsiębiorstwo Hydrotechniki i Inżynierii TAN S.A. He was the founder and the main shareholder of Europejski Fundusz Leasingowy S.A. – the first and largest leasing company in Poland, operating since 1991. In 1998 Dr. Leszek Czarnecki was awarded prize for one of ten best managers in Central Europe “The best CEO in Central Europe” by “The Wall Street Journal”. In the same year he was the winner of the world’s final of the contest “Young Business Journal” in Beijing. In April 2004 “The Financial Times” recognized Dr. Leszek Czarnecki as one of 25 rising stars of European business, who would set in the near future development trends of financial markets. Dr. Leszek Czarnecki has been entered into ”FT” list as the only Polish man. In November 2004 Dr. Leszek Czarnecki was one of four persons awarded by INSEAD – one of the top European business schools and the French Minister of Finance “Eastern Europe Entrepreneur of the Year”. In September 2005 Dr. Leszek Czarnecki was awarded prestigious Lesław A. Paga Prize for achievements and personal contributions to the development of financial services in Poland. He was elected the Player of the Year in the rank organized by the Polish edition of Forbes magazine in 2005, 2006 and 2007.
Mr. Marek Grzegorzewicz graduated from Technical University of Wroclaw (1984) and Henley Management College – MBA studies (2001).
In the years 1984-1991 he was Sales Director in Dior S.A. with its registered office in Dzierżoniowo. In the years 1992-1993 he was Managing Director of Lower Silesia region of Inter Ams Sp. z o.o. with its registered office in Wroclaw. In the years 1993-1994 he worked for the Ministry of Industry and Commerce as General Director.
In the years 1994-2001 he worked as Managing Director in Cadbury Poland S.A. with its registered office in Warsaw, and in the years 1998-2001 he was Managing Director for the region of Central Europe (Czech Republic, Hungary, Slovakia, Romania, Bulgary, former Yugoslavia countries). In the period from January 2003 to June 2003 he was a Member of the Supervisory Board of the Company, and from December 2005 to July 2006 he was the President of the Management Board of Tele Video Media Sp. z o.o. with its registered office in Wroclaw. Moreover, from July 2003 to September 2003 he was a Member of the Supervisory Board of Carcade Sp. z o.o. with its registered office in Caliningrad. In the period from May 2003 to January 2004 he was a Member of the Supervisory Board of LC CORP S.A. with its registered office in Wroclaw.
Currently, Mr. Marek Grzegorzewicz is the President of the Management Board of LC Heart. He is also the owner of the company specializing in strategic counseling and M&A transactions. Mr. Marek Grzegorzewicz is the Consul of Honour of Great Britain in Wroclaw. Since July 2003 he has been a Member of the Supervisory Board of Getin Holding S.A
The newly appointed Members of the Supervisory Board has stated they do not run competitive operations to Noble Bank S.A. and they are not enlisted in the National Insolvent Debtors Register.
