Adoption of the Initial Public Bonds Issue Program of Getin Noble Bank S.A.

Current report 59/2011 dated 30 September 2011 The Management Board of Getin Noble Bank S.A. (the “Issuer”) hereby informs that today, i.e. on 30 September 2011 the Supervisory Board of the Issuer approved the Initial Public Bonds Issue Program adopted by the Issuer’s Management Board. As of the date of the resolution on introduction of the Program the Management Board of the Issuer on the basis of its financial and market information assesses that the needs as regards running up a debt by issuing subordinated bonds within the Program by the end of 2012 shall amount to PLN 500.000.000 (in words: five hundred million zloty). Bond within the Program shall be issued in many series up to the maximum amount of PLN 1.000.000.000 (in words: one billion zloty), and the nominal issue of one bond shall amount to PLN 1.000 (in words: one thousand zloty). Bonds issued within the Program shall be dematerialized bearer securities. Bonds shall be interest bearing bonds. The terms of the issue within the Initial Public Bonds Issue Program within the meaning of Article 5b of the Polish Bonds Act shall constitute Basic Issue Terms, information of rules of bonds allotment covered by the Prospectus drawn up for the bonds offering and for each bonds series Final Issue Terms of Each Series adopted by the Management Board in a form of a resolution on issue of each bonds series. Bonds shall be introduced to Alternative Trading System Catalyst organized by the Warsaw Stock Exchange. The Issuer informs at the same time that within the next few days the Issuer shall file at the Commission of Financial Supervision the Prospectus drawn up for the purpose of the public offering of bonds within the Initial Public Bonds Issue Program in order to approve. Legal basis : Article 56(1)(1) of the Polish Act of 25 July 2005 on public offerings and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws No. 184 item 1539 of 2005 later amended).
