CHANGES IN THE COMPOSITION OF THE MANAGEMENT BOARD OF GET BANK S.A.

Get Bank S.A. (the ”Issuer”) hereby informs that on 30 May 2012 it was informed that Mr. Marcin Dec and Mr. Radosław Radowski submitted their resignation from the function in the Issuer’s Management Board effective as of the day of the legal merger of the Issuer with Getin Noble Bank S.A. The resignations of the above persons did not include any justification for their decision to resign from the Issuer’s Management Board. The Issuer informs at the same time that on 30 May 2012 the Supervisory Board of the Issuer appointed the following persons to the Issuer’s Management Board effective as of the legal merger of the Issuer and Getin Noble Bank S.A.: 1) Mr. Krzysztof Rosiński - Vice-President of the Management Board, 2) Mr. Maurycy Kühn -Member of the Management Board, 3) Mr. Krzysztof Spyra - Member of the Management Board, 4) Mr. Maciej Szczechura - Member of the Management Board, 5) Mr. Grzegorz Tracz - Member of the Management Board. The Supervisory Board of the Issuer also adopted a resolution to appoint Mr. Krzysztof Rosiński the President of the Management Board of the Issuer effective as of the day the following conditions are jointly fulfilled: the Polish Financial Supervision Authority expresses its consent to assume this function according to Article 22b of the Polish Act of 29 August 1997 - Banking Law and Mr. Radosław Stefurak resigns from the post of the President of the Issuer’s Management Board. The Supervisory Board also decided – in case of the resignation of Mr. Radosław Stefurak from the post of the President of the Management Board - to appoint Mr. Radosław Stefurak Member of the Management Board, and in case such resignation is submitted prior to the abovementioned consent of the Polish Financial Supervision Authority, to entrust Mr. Krzysztof Rosiński with the duties of the President of the Issuer’s Management Board. Information on the appointed Members of the Management Board of the Issuer: Mr. Krzysztof Rosiński Education: Mr. Krzysztof Rosiński, Ph.D. in economics, is a graduate of the Warsaw School of Economics and post-graduate studies in Commercial Bank Management and post-graduate managerial studies. Mr. Krzysztof Rosiński is also a graduate of studies of Managerial Skills For International Business at INSEAD . Mr. Krzysztof Rosiński is a stock broker. Currently, Mr. Krzysztof Rosiński is the President of the Management Board of Getin Noble Bank S.A. (since 2010). Mr. Krzysztof Rosiński is also: a Member of the Supervisory Board of Panorama Finansów S.A. (since 2009), a Member of the Supervisory Board of Getin International S.A. (since 2007), a Member of the Supervisory Board of Noble Securities S.A. (since 2008), a Member of the Supervisory Board of Idea Bank S.A. (since 2010). He is the Chairman of the Supervisory Board of Open Life Towarzystwo Ubezpieczeń Życie S.A. (since 2011). Mr. Maurycy Kühn Education: Mr. Maurycy Kühn has a university education. He graduated from Warsaw University of Life Sciences, Faculty of Veterinary Medicine (1989) and also completed Master of Business Administration studies at Duke University, USA (1998). Mr. Maurycy Kühn is currently a Member of the Management Board of Getin Noble Bank S.A. (since 2005). Moreover, Mr. Maurycy Kühn is a Member of the Supervisory Board of Home Broker S.A. (since 2006), a Member of the Supervisory Board of Tax Care S.A. (since 2008), a Member of the Supervisory Board of Kuban Bank Rosja (since 2011). Mr. Maurycy Kühn is the Vice-Chairman of the Supervisory Board of Home Broker Nieruchomości S.A. (since 2011). Mr. Maurycy Kühn is the Vice-President of the Management Board of Noble Securities S.A. (since 2005), the President of the Management Board of Getin International S.A. (since 2009), the President of Open Finance S.A. (since 2010), A Director of Ask Investments S.A. (since 2008), the Chairman of the Supervisory Board of Closed Joint Stock Company Somelbank with its registered office in Minsk (since 2009), a Memebr of the Supervisory Board of Home Broker Nieruchomości S.A. (since 2011), the Chairman of the Supervisory Board of Open Finance TFI S.A. in organization (since 2012). (since 2010), a Member of the Supervisory Board of Getin Leasing S.A. (since 2010), a Member of the Supervisory Board of Noble Funds Towarzystwo Funduszy Inwestycyjnych S.A. Moreover he is entered on the list of legal advisors under Kr/K/1212 (since 1996). In 1997 he gained Ph.D. in Law at Jagiellonian University and in 2009 he habilitated. Mr. Grzegorz Tracz is currently a Member of the Management Board of Getin Noble Bank S.A. (since 2010). Moreover, Mr. Grzegorz Tracz is a Member of the Supervisory Board of MW Tarde S.A.
