FINAL SETTLEMENT OF THE AGREEMENT TRANSFERRING AN ORGANIZED PART OF A BANKING BUSINESS

In connection with the Current report 112/2013 dated 24 May 2013, the Management Board of Getin Noble Bank S.A. („Issuer”) hereby informs that today, i.e. on 31 May 2013 the disposing agreement, on the basis of which the Issuer acquired from DnB Nord Polska S.A. (“Company”) an organized part of a banking business of the Company was finally settled.

According to the final value of the settlement, the Issuer made payment to the Company in the amount of PLN 10,6m. The increase in the value of the settlement in comparison with the amount previously published results from the fact that the Issuer took over the clients’ assets in the amount twice as much than it was assumed in the preliminary agreement. Such situation results from the fact that almost every client of the Company consented to the takeover of the service of the assets by the Issuer.

As at 31 May 2012 the total value of debts under credits being a part of an organized part of the Company’s banking business acquired by the Issuer amounted to PLN 831,465,541.59 (eight hundred thirty-one million four hundred sixty-five thousand five hundred forty-one zloty and fifty-nine). Whereas the deposit amount included in the organized part of the Company’s banking business acquired by the Issuer amounted to PLN 2,222,563,960.25 (two billion two hundred twenty-two million five hundred sixty-three thousand nine hundred and sixty zloty and twenty-five).

Legal basis: Article 56(1)(2) of the Polish Act of 25 July 2005 on public offering and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws No. 184 item 1539 of 2005 later amended) in connection with §5 (1)(3) and §9 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259 with later amendments).
