NOTIFICATION OF TRANSACTIONS INVOLVING GETIN NOBLE BANK S.A. SECURITIES

The Management Board of Getin Noble Bank S.A. (the “Issuer”) hereby announces that on 4 July 2013 it was informed under Article 160 (1) and (3) of the Polish Act of 29 July 2005 on Trading in Financial Instruments (the “Act”) by the following persons on transactions involving ordinary bearer shares of the Issuer:

1) Mr. Maurycy Kühn – a Member of the Issuer’s Management Board informed that a person closely related to Mr. Maurycy Kühn in the meaning of Article 160(2)(4b) of the Act, i.e. Nagelkerken Holding B.V. during liquidation procedure with its registered office in the Netherlands (“Nagelkerken”) transferred 1.252.394 ordinary bearer shares of Getin Noble Bank S.A. to a person closely related to Mr. Maurycy Kühn in the meaning of Article 160(2)(4b) of the Act, i.e. Valoro Investments Ltd. (“Valoro”).

Valoro is the sole shareholder of Nagelkerken and the above shares were transferred as a result of a resolution on liquidation adopted on 1 July 2013 by Nagelkerken. The transaction was carried out outside the regulated market.

2) Mr. Krzysztof Spyra - a Member of the Issuer’s Management Board informed that a person closely related to Mr. Krzysztof Spyra in the meaning of Article 160(2)(4b) of the Act, i.e. International Consultancy Strategy Implementation B.V. during liquidation procedure with its registered office in the Netherlands (“ICSI”) transferred 358.949 ordinary bearer shares of Getin Noble Bank S.A. to a person closely related to Mr. Krzysztof Spyra in the meaning of Article 160(2)(4b) of the Act, i.e. KKBBK Investments Ltd. (“KKBBK”).

KKBBK is the sole shareholder of ICSI and the above shares were transferred as a result of a resolution on liquidation adopted on 1 July 2013 by ICSI. The transaction was carried out outside the regulated market.
