PURCHASE BY GETIN NOBLE BANK S.A. ITS OWN BONDS
The Management Board of Getin Noble Bank S.A. („Issuer”) hereby informs that on 10 December 2013 the Issuer purchased 11 of its own 9/2011 series bonds. The legal basis for this purchase is Article 25(1) of the Polish Bond Act of 29 June 1995 (Journal of Laws 2001 No. 120, item 1300) and purchase agreements concluded by the Issuer and bond holders. The reason for the acquisition was the will of the parties to the transaction. The bonds were purchased by the Issuer for the purpose of their redemption. The average purchase price of one bond amounted PLN 91,054.70.
The Issuer purchased its own bonds issued within debt securities issue program under dealership agreement and issue agreement concluded on 20 October 2005 between Getin Bank S.A. (currently: Getin Noble Bank S.A.) and BRE Bank S.A. (currently: mBank S.A.), amended by Annex No. 1 dated 6 October 2006 and Annex No. 2 dated 28 July 2010. Getin Holding S.A. informed on the above agreements and on Annex No. 1 in Current report 113/2005 dated 21 October 2005 and Current report 106/2006 dated 16 October 2006. The Issuer informed on Annex No. 2 in Current report 37/2010 dated 28 July 2010. The agreements envisage the issue of debt securities in many tranches. The maximum value of the program amounts to PLN 1,500,000,000.00 (in words: one billion five hundred million zloty). The total maximum issue amount cannot exceed the above amount. BRE Bank S.A. is the Issue Organizer, Issue Agent, Paying Agent, Depositary as well as Dealer organizing secondary trading.
Legal basis: Article 56(1)(2a) of the Polish Act of 25 July 2005 on public offering and the conditions for introducing financial instruments into an organized trading system and on public companies (Journal of Laws No. 184 item 1539 of 2005 later amended) in connection with §5 (1)(6) of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259 with later amendments).
