Getin Noble Bank S.A. (the “Issuer”) hereby announces that as a result of the registration on 8 October 2012 by the National Depository for Securities S.A. of subscription rights to the Issuer’s K-series ordinary bearer shares (“SR”) the Issuer was informed on 9 October 2012 by Mr. Rafał Juszczak – the Vice-Chairman of the Supervisory Board of the Issuer and by Mr. Remigiusz Baliński – a Member of the Supervisory Board of the Issuer under Article 160 of the Polish Act of 29 July 2005 on Trading in Financial Instruments on the following transactions of take-up of the Issuer’s SR made upon execution of the pre-emptive rights: 1)by persons closely related to Mr. Rafał Juszczak in the meaning of Article 160 of the above Act, i.e.: 1. Getin Holding S.A. with its registered office in Wroclaw – 2.712.213 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 4,339,540.80; 2.Idea Expert S.A. with its registered office in Wroclaw - 185 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 296.00. Mr. Rafał Juszczak is the President of the Management Board of Getin Holding S.A. and a Member of the Supervisory Board of Idea Expert S.A. 2) by persons closely related to Mr. Remigiusz Baliński in the meaning of Article 160 of the above Act, i.e.: 1. Getin Holding S.A. with its registered office in Wroclaw – 2.712.213 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 4,339,540.80; 2. RB Investcom sp. z o.o. with its registered office in Wroclaw – 2.418 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 3,868.80; 3. Idea Expert S.A. with its registered office in Wroclaw - 185 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 296.00. 4. Jolanta and Leszek Czarnecki Foundation with its registered office in Wroclaw – 83.581 SR labeled with the ISIN code PLGETBK00103 for the total price of PLN 133,729.60. Mr. Remigiusz Baliński is the Vice-Chairman of the Supervisory Board of Getin Holding S.A., the President of the Management Board of RB Investcom sp. z o.o., the Vice-Chairman of the Supervisory Board of Idea Expert S.A. and the President of the Management Board of Jolanta and Leszek Czarnecki Foundation. The subscription rights to shares were taken up as the result of the public offering of K-series shares of the Issuer on the Warsaw Stock Exchange S.A.
