Oder of the court to register changes in the Bank’s Articles of Association

With reference to current reports No 53/2018 of 18 June 2018 and 69/2018 of 25 July 2018, Getin Noble Bank S.A. (the “Issuer”) hereby informs that as of today, it became aware of the fact that the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register (the “District Court”) had registered, on 10 January 2019, an increase in the Issuer’s share capital by a total amount of PLN 100,000,001.01 (say: one hundred million one zlotys and 1/100) by way of issue of 36,630,037 (say: thirty-six million six hundred and thirty thousand thirty-seven) ordinary series E bearer shares with the nominal value of PLN 2.73 (say: two zlotys and 73/100) per share.

The Issuer’s share capital is currently PLN 2,851,630,418.91 (say: two billion eight hundred and fifty-one million six hundred and thirty thousand four hundred and eighteen zlotys and 91/100) and it is divided into:

  1. 883,381,106 (eight hundred and eighty-three million three hundred and eighty-one thousand one hundred and six) A series shares,
  2. 18,315,019 (eighteen million three hundred and fifteen thousand nineteen) B series shares,
  3. 69,597,068 (sixty-nine million five hundred and ninety-seven thousand sixty-eight) C series shares,
  4. 36,630,037 (say: thirty-six million six hundred and thirty thousand thirty-seven) D series shares; and
  5. 36,630,037 (say: thirty-six million six hundred and thirty thousand thirty-seven) E series shares,

each share of the nominal value of PLN 2.73 (two zlotys and 73/100).

The total number of votes resulting from all shares issued by the Issuer after registration of the change in the share capital is 1,044,553,267.
